KPMG’s Deal Execution practice is looking for exceptional candidates for a Manager role, with a focus on technology and data, within our Tech in M&A team.

The Deal Execution team is part of KPMG’s rapidly expanding Strategy Group, which delivers value for clients by challenging conventional thinking, bringing deep industry and functional insights and executing with investor-grade rigour. We are a diverse team of over 150 practitioners, working collaboratively with and orchestrating KPMG’s broad set of capabilities within our Deal Advisory business.

The Technology in M&A team at KPMG is a growing and dynamic team. We deal with all aspects of the technology function, from strategy, cloud, digital, technology spend, etc. We work with both acquirers and vendors on pre- and post-deal technology issues.

Our three key client proposition areas are:

1) Due diligence: Highlighting key risks and opportunities in the target’s technology environment in order to ensure that acquirers are aware of key issues that may impact valuation.

2) Integration: Planning pre and post deal to support the client to integrate the technology function and systems into the buyer’s organisation while enhancing value.

3) Separation: Supporting vendors to plan and deliver a credible, discrete standalone entity on Day 1 to the buyer with value preserved and business continuity ensured from a technology perspective including support to define and implement transitional service agreements.

You will deliver projects working closely alongside senior members of the team, who will provide guidance and insight in the deal environment. This will provide you with the opportunity to build your transactions knowledge and further develop your technology skills base.

To be an effective Senior Associate within our Deal Execution applicants

your responsibilities will include:

Due Diligence

  • Researching, writing, delivering, and reviewing technology related deal and transaction reports
  • Analysing and data mapping to comment on the technology of the business including cost, products and systems and technology contracts
  • Providing insights on technology aspects of the deal that are relevant to the client and readers of the technology due diligence reports and to be able to explain issues simply, highlighting the impact of technology on business strategy, operations and, ultimately, deal valuation.
  • Developing an understanding of technology benchmark and qualitative information to provide insights to clients to describe a typical technology function
  • Contributing content for sections of reports/deliverables
  • Integration & Separation

  • Advising on technology aspects of integration, separation (carve outs) and optimisation initiatives ( synergy analysis) including the development of target operating models, understanding the current IT and/or data landscape , defining transitional service agreements, developing detailed plans, and supporting the implementation of such plans.
  • Support the technology and/or data workstream in integrations and separations within a larger team of Integration & Separation colleagues, working and supporting the client workstream leads to fulfil their workstream objectives
  • Identification or review of client synergies for technology within a larger team

  • When you are not working on a project, you will provide support to senior colleagues in a number of different aspects such as preparation of proposal materials, development of propositions etc.
  • Leadership & Management :

  • You will support the Manager on both small and large projects in a client facing role. You will be expected to support the management and performance development of junior team members as well as supporting the Manager and Associate Director in day-to-day project activities.
  • Stakeholder Interaction & challenges:

  • You will manage some clients directly and be the key point of contact on projects. You will also be expected to manage internal stakeholders, all the way up to Partner level.

  • Successful applicants will demonstrate the following:

    Work Experience:

  • Experience working in a leading strategy house, Big 4 firm, public sector organisation or strategy / development team in industry
  • Strong foundational understanding of the value drivers within M&A transactions relating to the separation / integration of data
  • Experience of leading project workstreams and taking responsibility for small teams
  • Prior involvement in business development activity and ability to contribute to thought leadership and knowledge management initiatives
  • Ability to work effectively and collaboratively with team members and broader (internal and external) stakeholders
  • An understanding of the commercial, legal and/or regulatory considerations that may impact the separation and transfer of data
  • Experience working on M&A projects within highly regulated environments. Experience in Life Sciences or Financial Services sectors is preferable
  • Technical skills:

  • Ability review and assess large volumes of technical data and distil the key strategic insights

  • Excellent written and oral communication skills
  • Other language skills would be a strong bonus
  • Technical expertise is preferable in at least one of the following Data areas:

  • Planning and execution of IT integrations and separations across technology, infrastructure, applications
  • Artificial intelligence, machine learning and deep learning
  • Forensic tools for data exploration/examination
  • Data visualization (Tableau, Qlik, Power BI or other)
  • Unstructured data (analysis & migration)
  • Data migration (including ETL)
